Item 5.02 Departure of Directors or Certain Officers; Election of Directors;
Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 24, 2022, Brent Hunter provided the Company with notice of his intent
to resign from his position as Vice President, Finance of the Company. Mr.
Hunter will continue to serve as the Company’s Principal Financial Officer and
Principal Accounting Officer until November 11, 2022. It is expected that Mr.
Hunter will enter into a consulting agreement pursuant to which Mr. Hunter will
assist with the transition of his role and consult for the Company until March
31, 2023. Mr. Hunter’s resignation is not a result of any disagreement with the
Company or its board of directors, or any matter relating to the Company’s
operations, policies or practices.
